WEBSITE TERMS OF USE

Effective: January 19, 2018

This website terms of use (“Terms of Use”) between you (“Subscriber,” “you” or “your”) and Sirius XM Radio Inc. (the “Company,” “us,” “our” or “we”) applies to your paid, trial or other subscription ("Subscription") in the Service Area (defined below) to our satellite radio service ("Satellite Radio"), our streaming service (“Streaming”), and any other service we offer such as traffic, weather (including marine and aviation), data and infotainment, any Equipment Technology (defined below) relating thereto, and to this web site (“Site”) available to Subscribers, prospective consumers, and other visitors. The Satellite Radio service, Streaming service, traffic and weather services, including marine weather, aviation weather, the infotainment service and any other programming or data for Equipment Technology for radio, television, online, our apps, portable, wireless, mobile, home devices and other receivers now known or later developed ("Radios"), will be collectively referred to here as the "Service(s)."

Our Customer Agreement also governs your Subscription, and can be found at www.siriusxm.com/customeragreement.

Our Privacy Policy governs the treatment by us of both anonymous and personally identifiable information that we collect when you use the Services, our apps, or our Site, and can be found at www.siriusxm.com/privacy.

B. CHANGES IN TERMS: WE RESERVE THE RIGHT TO CHANGE THESE TERMS OF USE AT ANY TIME. ANY CHANGES WILL BE EFFECTIVE UPON POSTING OF THE REVISIONS AT WWW.SIRIUSXM.COM REFLECTING THE NEW EFFECTIVE DATE. YOUR CONTINUED USE OF THE SITE FOLLOWING THE POSTING OF THE CHANGES WILL CONSTITUTE YOUR ACCEPTANCE OF SUCH CHANGES.

C. USE OF SITE:

1. Eligibility For Use of Site: You must be at least 18 years old to subscribe to the Service and use the Site.

2. Service Area: We offer the Satellite Radio Service in the 48 contiguous United States and the District of Columbia. The Sirius Satellite Radio Service is also available in Puerto Rico (with coverage limitations).* The Streaming Service area includes our Satellite Radio Service area and also Alaska, Hawaii and Puerto Rico. (The Satellite Radio Service and Streaming Service areas are collectively referred to as the “Service Area”). Our aviation and marine weather Services are available in the continental United States and its coastal waters as well as Southern Canada. Our other Services, including traffic and weather services, are not available in all markets in the Service Area. Please consult our FAQs at www.Siriusxm.com/FAQs or contact us to find out if those Services are available in your area.

* Satellite radio audio reception for Sirius in Puerto Rico is best in the Greater Metropolitan Area of San Juan and may not be available in other areas. Puerto Rico residents should consult SiriusXM Listener Care for the most current audio reception information.

3. Streaming Service: You may use the Streaming Service on one device at a time per Subscription, unless otherwise described in our offer. The Streaming Service is intended to be enjoyed within the Service Area only. Your manipulation of the Service or “spoofing” of a web device or any other activities undertaken to deliver to our servers a false geographical location is a violation of these Terms of Use.

4. Personal Use of the Service: The Service is provided only for your personal, non-commercial enjoyment. You may not make commercial use of, or record (except as permitted in subsection 5 below), charge admission for listening to or distribute play lists of our programming. Should your username and/or password be lost or stolen, go to www.siriusxm.com/myaccount to change it immediately.

5. Recorded Content: Certain types of radios have the ability to record programming transmitted over the Service (“Recorded Content”). Subject to applicable laws, you may access such Recorded Content only as long as you pay your Subscription. We reserve the right to change, reduce, eliminate or charge a fee for this and/or any related functionality.

6. Service Interruptions: The Streaming Service, online or in our apps, may be unavailable or interrupted from time to time as a result of difficulties with the Internet generally or with your web browser, computer, home wiring or network, cellular data service, or Internet service provider and/or other things we cannot control. The Satellite Radio Service may be unavailable or interrupted for a variety of reasons, many of which we cannot control. The Satellite Radio Service might also not be available in certain places (e.g., in tunnels, parking garages, or within or next to buildings) or near other technologies.

7. Service Suspension: Subscribers to our streaming service as well as other audio, data, marine weather and aviation weather services may request that their paid Subscription be placed into a “suspended” state one time in any calendar year for a duration of up to six months. You must call us to suspend service. Suspended subscriptions will receive no service, accrue no subscription fees, and be charged no fees to restore service to “active” status, provided that service is restored within the permitted six-month period. Services that are suspended will be automatically reactivated on the earlier of the date requested, or the six-month anniversary of the date the paid Subscription was “suspended.” If you requested a service suspension while in a promotional period, this suspension will not change the end date of your promotional period.

8. Advisory Nature of Services; User Responsibility; User Safety/Reliance; Parental Control: You assume the entire risk related to your use of the Service and the Site. The traffic, weather, marine weather, aviation weather, and other content and emergency alert information and data on the Service is not for "safety for life," but is merely advisory in nature. You should not rely on such information in any aircraft, sea craft, automobile, or any other usage. We are not responsible for any errors or inaccuracies in the Service, the Site, or their use. Some programming includes explicit language. We are not responsible for content that you or anyone else may find inappropriate.

9. Changes To The Site: We reserve the right to change, rearrange, add, or delete content on the Service, our apps, and the Site at any time.

D. OUR HARDWARE, TECHNOLOGY AND CONTENT:

1. Technology: You agree not to copy, decompile, disassemble, reverse engineer, make derivative works of or manipulate any technology, data or content stored or incorporated in any Radios, our apps, receivers, equipment or software used to receive the Service (collectively, “Equipment Technology”). You agree not to upload, post, transmit or otherwise make available any material that contains software viruses or any other computer code, files, or programs designed to interrupt, disable or limit the functionality of the Site or the Streaming Service.

2. Content: All music, programming, text, software (including source and object codes), data, information, visual, oral or other digital material, and all other content available on the Site or included in the Service (collectively, the "Content"), and all worldwide copyrights, trademarks, service marks, patents, patent registration rights, trade secrets, know-how, database rights and all other rights in or relating to the Content are owned by us or are the property of our licensors and suppliers who have given us permission to use it. Neither your access to and use of the Service on this Site or in our apps, nor do these Terms of Use grant you any right, title, interest or license in or to any such Content, and you may not use such Content without the express written permission of the owner(s).

3. Trademarks: Sirius Satellite Radio®, the dog logo, Sirius®, SiriusXM Internet Radio®, SiriusXM®, XM® and the SiriusXM logo are trademarks, service marks or registered marks of Sirius XM Radio Inc. ("Marks"). Other trademarks, service marks, graphics, logos and domain names appearing on the Service or the Site may be the trademarks of third parties. Neither your access to and use of the Service or the Site grants you any right, title, interest or license to reproduce or otherwise use the Marks or any third-party trademarks, service marks, graphics, logos or domain names. Any goodwill in the Marks generated as a result of your use of the Service or this Site will inure to our benefit.

E. LIMITATION OF LIABILITY:

1. Disclaimers: ALL OF OUR SERVICES, INCLUDING PROGRAMMING AND ON-AIR ADVERTISING, ARE PROVIDED "AS IS" AND "AS AVAILABLE." ALL WARRANTIES (INCLUDING, WITHOUT LIMITATION, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT) ARE HEREBY DISCLAIMED. UNDER NO CIRCUMSTANCES SHOULD A USER OF THE SERVICE OR SITE MAKE DECISIONS BASED SOLELY OR IN PART ON TRAFFIC, WEATHER, OR OTHER INFORMATION CONTAINED WITHIN THE SERVICE, OUR APPS, OR SITE. THE COMPANY ASSUMES NO RESPONSIBILITY FOR ACCIDENTS, DAMAGES OR OTHER LOSSES RESULTING FROM OR ASSOCIATED WITH USE AND/OR MISUSE OF THE SERVICE, OUR APPS, OR SITE.

2. Limitations of Liability: IN NO EVENT ARE WE OR ANY THIRD PARTY LIABLE FOR ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, OR CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, LOST PROFITS, OR LOSSES RELATING TO THE USE, LOSS OF USE OR DATA, OR PURCHASE OF ANY RADIO OR EQUIPMENT, OR YOUR PURCHASE OR USE OF THE SERVICE, YOUR USE OF THIS SITE OR OUR APPS, OR FROM ANY CONTENT POSTED ON THE SITE BY US OR ANYONE ELSE, WHETHER BASED ON NEGLIGENCE OR OTHERWISE, AND WHETHER OR NOT WE HAVE BEEN ADVISED OF THE POSSIBILITY THEREOF, WHETHER ARISING OUT OF BREACH OF THESE TERMS OF USE, TORT OR ANY OTHER CAUSE OF ACTION RELATING TO THE PERFORMANCE OR NON-PERFORMANCE OF THESE TERMS OF USE. IN NO EVENT WILL THE AGGREGATE OF EACH OF THE COMPANY AND ITS AFFILIATES’ LIABILITY FOR ANY AND ALL OF YOUR CLAIMS, OR ANY THIRD PARTY CLAIMS, AGAINST US AND OUR PROGRAMMING OR DATA SUPPLIERS, SERVICE PROVIDERS, MARKETING/DISTRIBUTION SOFTWARE OR INTERNET SUPPLIERS OR HARDWARE OR SOFTWARE MANUFACTURERS, OR SUPPLIERS, CONTRACTORS AND LICENSORS, OR INDEPENDENT SELLERS, ARISING OUT OF OR RELATED TO, DIRECTLY OR INDIRECTLY, THE PERFORMANCE OR NONPERFORMANCE OF OBLIGATIONS PURSUANT TO THESE TERMS OF USE OR BY THE NEGLIGENCE, ACTIVE OR PASSIVE, OF THE COMPANY, AND/OR ITS AFFILIATES, OR YOUR ACCESS TO OR USE OF OR INABILITY TO USE THE SERVICE OR SITE, EXCEED THE PRICE PAID BY YOU TO THE COMPANY HEREUNDER FOR THE MOST RECENT SIX MONTHS OF SERVICE IMMEDIATELY PRIOR TO THE SPECIFIC EVENT WHICH GAVE RISE TO THE APPLICABLE DAMAGE OR LOSS. YOU AGREE THAT THIS LIMITATION OF LIABILITY REPRESENTS A REASONABLE ALLOCATION OF RISK. THIS ALLOCATION OF RISK AND THE DISCLAIMER OF WARRANTIES HEREIN ARE REFLECTED IN OUR PRICES AND ARE A FUNDAMENTAL ELEMENT OF THESE TERMS OF USE. YOU MAY HAVE GREATER RIGHTS THAN DESCRIBED ABOVE UNDER YOUR STATE'S LAWS.

3. Your Risk: YOU AGREE THAT YOUR ACCESS TO AND USE OF, OR INABILITY TO ACCESS OR USE THE SERVICE, OUR APPS, OR THE SITE IS AT YOUR SOLE RISK. WE ARE NOT RESPONSIBLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR LOST PROFITS RESULTING FROM YOUR ACCESS TO OR USE OF, OR INTERRUPTIONS IN THE TRANSMISSION OR RECEPTION OF THE SERVICE OR SITE, INCLUDING ANY DAMAGE TO ANY OF YOUR COMPUTERS OR DATA, AND/OR ANY RADIO. NO ORAL OR WRITTEN INFORMATION OR ADVICE GIVEN BY ANY PERSON SHALL CREATE A WARRANTY OR GUARANTEE IN ANY WAY WHATSOEVER RELATING TO THE SERVICE OR SITE.

4. State Law: SOME JURISDICTIONS MAY NOT ALLOW THE EXCLUSION OF CERTAIN IMPLIED WARRANTIES OR THE LIMITATION OF CERTAIN DAMAGES, SO SOME OF THE ABOVE DISCLAIMERS, WAIVERS AND LIMITATIONS OF LIABILITY MAY NOT APPLY TO YOU.

5. Miscellaneous: UNLESS LIMITED OR MODIFIED BY APPLICABLE LAW, THE FOREGOING DISCLAIMERS, WAIVERS AND LIMITATIONS SHALL APPLY TO THE MAXIMUM EXTENT PERMITTED, EVEN IF ANY REMEDY FAILS ITS ESSENTIAL PURPOSE.

6. Indemnification: EXCEPT FOR WILLFUL MISCONDUCT ON THE PART OF THE COMPANY, YOU AGREE TO DEFEND, INDEMNIFY AND HOLD HARMLESS COMPANY, ITS SUBSIDIARIES, SHAREHOLDERS, OFFICERS, AGENTS, EMPLOYEES, LICENSORS AND SERVICE PROVIDERS (“INDEMNIFIED PARTIES”) FROM ANY AND ALL CLAIMS, LIABILITY AND EXPENSES (INCLUDING ATTORNEYS' FEES AND EXPENSES), WHETHER IN TORT, CONTRACT OR OTHERWISE, RELATING TO OR ARISING OUT OF YOUR USE OF THE SERVICE, OUR APPS, OR THIS SITE, AND ANY BREACH OF THESE TERMS OF USE, APPLICABLE LAW OR ANY RIGHT OF THE INDEMNIFIED PARTIES OR ANY THIRD PARTY. THIS INDEMNIFICATION OBLIGATION INCLUDES THE ACTS OR OMISSIONS OF ANYONE ACCESSING THE SERVICE OR OUR APPS, WITH OR WITHOUT YOUR PERMISSION.

F. RESOLVING DISPUTES:

PLEASE READ THIS PROVISION OF THIS SECTION CAREFULLY. IT PROVIDES THAT ANY DISPUTE MAY BE RESOLVED BY BINDING ARBITRATION. BY AGREEING TO ARBITRATION, YOU ARE HEREBY WAIVING THE RIGHT TO GO TO COURT, INCLUDING THE RIGHT TO A JURY. IN ARBITRATION, A DISPUTE IS RESOLVED BY AN ARBITRATOR, OR A PANEL OF ARBITRATORS, INSTEAD OF A JUDGE OR JURY. THE PARTIES UNDERSTAND THAT THEY WOULD HAVE HAD A RIGHT OR OPPORTUNITY TO LITIGATE DISPUTES THROUGH A COURT AND TO HAVE A JUDGE OR JURY DECIDE THEIR CASE, BUT THEY CHOOSE (BY THEIR ACCEPTANCE OF THESE TERMS OF USE, IN ACCESSING OR USING THE SERVICE OR THE SITE) TO HAVE ANY DISPUTES RESOLVED THROUGH ARBITRATION.

Any legal or equitable claim relating to the Service, the Site, your Subscription or these Terms of Use (a "Claim"), will be resolved as follows:

1. Informal Claim Resolution: To initiate an informal resolution to a Claim, you must send a notice by first class United States mail to Sirius XM Radio Inc., 1290 Avenue of the Americas, 11th Floor, New York, NY 10104, Attention: CRM (a "Notice"). Neither of us may start a formal proceeding (except for Claims described in subsection 3 below) for at least sixty (60) days after one of us notifies the other of a Claim in writing. If we initiate a Claim, we will send our notice to the billing address on file with us. 2. Formal Resolution: If we cannot resolve a Claim informally, including past, present, and future Claims and disputes, and including any dispute as to the validity or applicability of this arbitration clause, then these Claims shall be resolved, upon election by either party, exclusively and finally by binding arbitration.

The party initiating arbitration must follow the rules and procedures of the American Arbitration Association (“AAA”) in effect at the time the Claim is filed, and the parties agree that the arbitration shall be administered by the AAA. This arbitration agreement is made pursuant to a transaction involving interstate commerce and shall be governed by the Federal Arbitration Act (“FAA”), and not by any state law concerning arbitration.

3. Exceptions: Notwithstanding the foregoing, any dispute involving a violation of the Communications Act of 1934, 47 U.S.C. §605, the Electronic Communications Privacy Act, 18 U.S.C. §§2510-2521, or a violation of our intellectual property rights may be decided only by a court of competent jurisdiction.

4. Small Claims: Instead of proceeding to arbitration, either you or we have the option to pursue a Claim in small claims court (or the equivalent) so long as the Claim 1) remains in that court, and 2) is made solely on our behalf (if brought by us) or on your behalf. However, if that Claim is transferred or appealed to a different court, we reserve our right to elect arbitration.

5. Cost Sharing: Whoever files the arbitration pays the initial filing fee. If we file, we pay; if you file, you pay. If you have paid the initial filing fee and you prevail, we will reimburse you for that fee. If there is a hearing, we will pay any fees of the arbitrator and arbitration firm for the first day of that hearing. All other fees will be allocated as provided by the rules of the arbitration firm and applicable law. In no event will you be required to reimburse us for any arbitration filing, administrative, or hearing fees in an amount greater than what your court costs would have been if the Claim had been resolved in a state court with jurisdiction. However, we will advance or reimburse your fee if the arbitration firm or arbitrator determines there is good reason requiring us to do so, or if you ask us and we determine there is good reason for doing so. Each party will bear the expense of that party’s attorneys, experts, and witnesses, and other expenses, regardless of which party prevails, but a party may recover any or all expenses from another party if the arbitrator, applying applicable law, so determines.

6. Class Actions and Severability: All Claims shall be arbitrated on an individual basis. There shall be no right or authority for any claims to be arbitrated on a class action basis or on bases involving Claims brought in a purported representative capacity on behalf of the general public, other Subscribers, or other persons similarly situated. No Claim submitted to arbitration is heard by a jury or may be brought as a private attorney general. You do not have the right to act as a class representative or participate as a member of a class of claimants with respect to any Claim submitted to arbitration (“Class Action Waiver”). The Class Action Waiver is material and essential to the arbitration of any disputes between the parties and is nonseverable from this agreement to arbitrate Claims. A “Claim” does not include any challenge to the validity and effect of the Class Action Waiver, which must be decided by a court. The parties acknowledge and agree that under no circumstances will a class action be arbitrated. If any portion of this arbitration agreement or the Class Action Waiver is limited, voided or cannot be enforced, then the parties' agreement to arbitrate (except for this sentence) shall be null and void with respect to such proceeding, subject to the right to appeal the limitation or invalidation of the Class Action Waiver, that portion will be severed, and the rest of the arbitration agreement will continue to apply. If this entire agreement to arbitrate shall be null and void, then the parties agree that any actions shall be brought in the State or Federal courts of New York, New York.

7. Binding Effect: In the arbitration proceeding, the arbitrator must follow applicable law, and any award may be challenged, as set forth in the FAA. Any court with jurisdiction may enter judgment upon the arbitrator’s award. The arbitrator's decision is final and binding on all parties and may be enforced in any federal or state court with jurisdiction.

G. MISCELLANEOUS:

1. Notices: Notices to you will be deemed given when deposited in the mail, when sent by email or by telephone, which will be deemed given when a message is left with you, someone answering the telephone at your residence or a voice mail system at your phone number on record with us. Notices may be included in statements or other communications to you. Your notices to us will be deemed given when we receive them at the telephone number or, in writing at the address, in Section A above.

2. Full Agreement: These Terms of Use constitutes the entire agreement between us concerning your access to and use of the Site and may be modified by the unilateral amendment of these Terms of Use and the posting by us of such amended version. If any provision is declared by a competent authority to be invalid, that provision will be deleted or modified to the extent necessary, and the rest of these Terms of Use will remain enforceable. Any specific terms that expressly or by their nature survive termination shall continue thereafter until fully performed. A waiver of any terms or any breach thereof, in any one instance, will not waive such term or condition or any subsequent breach thereof.

3. Applicable Law: The interpretation and enforcement of these Terms of Use shall be governed by the laws of the State of New York. Section F. shall be governed by the FAA without reference to state law. THANK YOU FOR CHOOSING SIRIUSXM.

EL USO CONTINUO POR PARTE DE USTED DEL SERVICIO UNA VEZ HEMOS HECHO LA PUBLICACIÓN DE LOS CAMBIOS EN LÍNEA CONSTITUIRÁ SU ACEPTACIÓN DE DICHOS CAMBIOS.

C. USO DEL SITIO:

1. Elegibilidad para el Uso del Sitio: Usted debe tener al menos 18 años para suscribirse al Servicio y uso de este Sitio.

2. Área de Servicio: Nosotros ofrecemos el Servicio de Radio Satélite en los 48 estados contiguos de los Estados Unidos y el Distrito de Columbia. El servicio de Radio Satélite de Sirius también está disponible en Puerto Rico (con cobertura limitada).* El área del Servicio de Radio Internet incluye nuestro are de Servicio de Radio Satélite y también en Alaska, Hawái y Puerto Rico. (Las áreas donde se ofrece el Servicio de Radio Satélite y el Servicio de Internet Radio se refieren conjuntamente como “Área de Servicio”). Nuestros Servicios de tiempo marítima y aeronáutica están disponible en los estados contiguos de los Estados Unidos y sus aguas de costa y el sur de Canadá. Nuestros otros Servicios, incluyendo los servicios de tráfico y clima, no están disponibles en todos los mercados en el Área de Servicio. * La recepción de Radio Satélite de Sirius en Puerto Rico es mejor en el Área Metropolitana de San Juan y posiblemente no estará disponible en otras áreas. Los Residentes de Puerto Rico deberán consultar a SiriusXM Listener Care para información actual sobre las áreas de cubierta en Puerto Rico.

3. Servicio de Radio Internet: Usted puede escuchar el Servicio de Radio Internet en un solo aparato capacitado para internet a la vez, al menos que nuestra oferta describa lo contrario. El Servicio de Radio Internet esa diseñado para ser disfrutado dentro del Área de Servicio solamente. La manipulación o “spoofing” de un Aparato Web (Web Device) o cualquier otro acto cometido con el propósito de proveerle una localización geográfica falsa a nuestros servidores es una violación de estos Términos de Uso.

4. Uso Personal del Servicio: El Servicio es provisto solo para su disfrute personal no comercial. Usted no debe hacer uso comercial de, o grabar (excepto como permitido bajo el inciso 5, descrito más adelante), cobrar admisión por escuchar o distribuir listas discográficas “play lists” de nuestra programación. En caso de que su nombre de usuario y/o contraseña sea perdido o robado, vaya inmediatamente a www.siriusxm.com/myaccount para cambiarlo.

5. Contenido Grabado: Algunos tipos de nuestros radios tiene la capacidad de grabar programación transmitida por el Servicio (“Contenido Grabado”). Sujeto a las leyes aplicables, usted puede acceder a dicho Contenido Grabado solo mientras usted pague por su Suscripción. Nos reservamos el derecho de cambiar, reducir, eliminar o cambiar el honorario para esto y/o cualquier funcionalidad relacionada.

6. Interrupciones del servicio: El Servicio de Radio Internet, en línea o en neustros apps, podría no estar disponible o ser interrumpido de tiempo en tiempo como resultado de dificultades con el Internet en general o con su web browser, computadora, cables o network de su casa, data de servicio celular o su proveedor de servicio de Internet y/o otras cosas que no podemos controlar. El Servicio de Radio Satélite podría no estar disponible o ser interrumpido por una variedad de razones, muchas de las cuales no podemos controlar. El Servicio de Radio Satélite podría además no estar disponible en ciertos lugares (ej. Túneles, garajes de estacionamiento, o cerca o entre edificios) o cercano a otras tecnologías.

7. Suspensión del Servicio: Suscriptores a nuestros servicios de audio, data, tiempo marítimo y tiempo aeronáutico pueden solicitar que su Suscripción sea puesto en un estado de “suspensión” por un momento en cualquier año calendario para una duración de hasta seis meses. Usted nos debe llamar para suspender el servicio. Suscripciones suspendidas no recibirán el servicio, no se le acumulara tarifas de suscripción, y no se le cargaran cargos para restaurar el servicio para convertirlo en un estado activo, con tal que el servicio es restaurado dentro del periodo permitido de seis meses. Servicios que son suspendidos se reactivaran automáticamente en la fecha en que usted lo solicita o en el aniversario de seis meses de cuando la Suscripción pagado fue “suspendido”, el que sea primero. Si usted solicita la suspensión del servicio durante un periodo promocional, esta suspensión no cambiara la fecha de terminación de su periodo promocional.

8. Naturaleza de Aviso de Servicios; Responsabilidad del Usuario; Seguridad/Confianza del usuario; Control de Padres: Usted asume todo el riesgo relacionado a su uso del Servicio u el Sitio. La información y data de alerta relacionada a tráfico, meteorología, meteorología marítima, meteorología aeronáutica, y de otro contenido en el Servicio no es para seguridad de vida (“safety for life”) pero es meramente de materia de alerta en naturaleza. Usted no debe depender de dicha información en cualquier nave aérea, nave acuática, automóvil, o cualquier otro uso. No somos responsable por cualquier error o inexactitudes en el Servicio, el Sitio, o su uso. Alguna programación puede incluir lenguaje explícito. No somos responsables por contenido que usted o cualquier otra persona pueda encontrar inapropiado.

9. Cambios al Sitio: Nos reservamos el derecho de cambiar, reorganizar, añadir, o borrar contenido en el Servicio, nuestras apps, y en el Sitio en cualquier momento.

D. NUESTRO EQUIPO, TECNOLOGIA Y CONTENIDO:

1. Tecnología: Usted afirma que no copiará, descompilará, desarmará, revertirá la ingeniería, hará trabajos derivados o manipulará cualquier tecnología o data o el contenido guardado o incorporado en cualquier Radio, nuestros apps, recibidores, equipo o programación utilizados para recibir el Servicio (colectivamente “Equipo Tecnológica”). Usted acuerda no, subir, postear, descargar, colocar, publicar, transmitir o de cualquier otra forma hacer disponible cualquier material que contenga virus de software o cualquier otro código de computadora, archivos, o programas designados para interrumpir, deshabilitar, o limitar la funcionalidad de esta Sitio o del Servicio de Internet Radio.

2. Contenido: Toda música, programación, texto, software (incluyendo códigos de fuente y objeto) data, información, visual, oral u otro material digital y todo otro contenido de cualquier descripción habido en el Sitio o incluido en el Servicio (colectivamente el” Contenido”), y todos los derechos mundiales de autor, marcas, marcas de servicio, patentes, derechos de patentes de registro, secretos de negocio, el saber cómo (“know-how”), derechos de base de datos y todos otros derechos en o relacionados con el Contenido son propiedad de la Compañía o son la propiedad de nuestros licenciadores y suplidores que nos han dado permiso para usarlas. Ni su acceso al Servicio en este Sitio o en nuestras apps, ni estos Términos de Uso le conceden a usted algún derecho, título, interés o licencia en cuanto o para dicho Contenido, y usted no puede utilizar dicho Contenido sin el permiso expreso y escrito del dueño(s).

3. Marcas de Negocio: Sirius Satellite Radio®, el logo del perro, Sirius®, SiriusXM Internet Radio®, SiriusXM®, XM® y el logo de SiriusXM son marcas registradas, marcas de servicio o marcas de registro de Sirius XM Radio Inc. (“Marcas”). Otras marcas de negocio, marcas de servicio, gráficas, logos y nombres de dominio que aparecen en el Servicio o el Sitio pueden ser marcas de negocios de terceras partes. Ni su acceso ni su uso del Servicio o del Sitio le conceden a usted derecho, título, interés o licencia para reproducir o de otra manera usar las Marcas o a las marcas de negocio, marcas de servicio, gráficas, logos o nombres de dominio de ninguna tercera parte. Cualquier buena fe en las Marcas generadas como resultado de su uso del Servicio o este Sitio se habituará para nuestro beneficio.

E. LIMITACIONES DE RESPONSABILIDAD:

1. Renuncias de Responsabilidad: TODOS NUESTROS SERVICIOS, INCLUYENDO PROGRAMACIÓN Y/O PUBLICIDAD ON/AIR, ES PROVISTO “COMO ES” Y “SEGÚN DISPONIBLE”. TODAS LAS GARANTIAS (INCLUYENDO SIN LIMITACION, LAS GARANTÍAS IMPLICITAS DE COMERCIABILIDAD, USO ADECUADO, TÍTULO Y DE INCUMPLIMIENTO) SE RENUNCIAN. BAJO NINGUNA CIRCUNSTANCIA DEBERÁ UN USUARIO DEL SERVICIO O EL SITIO TOMAR DECISIONES BASADAS ÚNICAMENTE O EN PARTE EN EL TRÁFICO, CLIMA, U OTRA INFORMACIÓN CONTENIDA EN EL SERVICIO, NUESTROS APPS, O EL SITIO. LA COMPAÑÍA NO ASUME RESPONSABILIDAD POR ACCIDENTES, DAÑOS U OTRAS PÉRDIDAS QUE RESULTEN POR CAUSA ASOCIADA AL USO Y/O USO INDEBIDO DEL SERVICIO, NUESTROS APPS, O SITIO.

2. Limitaciones de Responsabilidad: EN NINGÚN MOMENTO NOSOTROS NI UN TERCERO ES RESPONSABLE POR CUALQUIER DAÑO DIRECTO, INDIRECTO, ESPECIAL, INCIDENTAL O CONSECUENCIAL, EJEMPLAR O PUNITIVO, LUCRO CESANTE, PÉRDIDAS RELACIONADAS CON EL USO, LA PERDIDA DE USO O DATA, O POR LA COMPRA DE CUALQUIER RADIO O EQUIPO O LA COMPRA O USO DE SERVICIO O SU USO DE ESTE SITIO O NUESTROS APPS, O DEL CUALQUIER CONTENIDO PUBLICADO EN EL SITIO POR NOSOTROS O POR CUALQUIER OTRA PERSONA, YA SEA POR NEGLIGENCIA, CON O SIN NUESTRO CONOCIMIENTO, YA SEA A CONSECUENCIA DE INCUMPLIMIENTO DE ESTE ACUERDO, RESPONSABILIDAD EXTRACONTRACTUAL O CUALQUIER OTRA CAUSA DE ACCIÓN RELACIONADA A LA EJECUCIÓN O NO EJECUCIÓN DE ESTOS TERMINOS DE USO. EN NINGÚN MOMENTO LA SUMA DE LAS RESPONSABILIDADES DE LA COMPAÑÍA Y SUS AFILIADOS POR CUALQUIER RECLAMACIÓN HECHA POR USTED, O POR UN TERCERO, EN CONTRA DE NOSOTROS, SUS SUPLIDORES DE INFORMACIÓN Y PROGRAMACIÓN, PROVEEDORES DE SERVICIO, DISTRIBUIDORES DE ACCESO A INTERNET, SOFTWARE O HARDWARE, FABRICANTES DE SOFTWARE O HARDWARE, SUPLIDORES, CONTRATISTAS O DUEÑOS DE LICENCIAS, O VENDEDORES INDEPENDIENTES, QUE SURJA O ESTÉ RELACIONADA, DIRECTA O INDIRECTAMENTE, AL COMPLIMIENTO O INCUMPLIMIENTO DE OBLIGACIONES DE ACUERDO CON ESTE ACUERDO, O POR LA NEGLIGENCIA, ACTIVA O PASIVA, DE LA COMPAÑÍA Y/O SUS AFILIADOS, O SU ACCESO A O USO O INHABILIDAD DE ACCESO O US0, DE NUESTROS SERVICIOS O EL SITIO, SERÁ MAYOR A LA CANTIDAD PAGADA POR USTED A LA COMPAÑÍA POR LOS ÚLTIMOS SEIS MESES INMEDIATAMENTE ANTERIORES A AL EVENTO EN ESPECÍFICO QUE DIO LUGAR A LA PÉRDIDA O DAÑO RECLAMADO. USTED ACEPTA QUE ESTA LIMITACIÓN DE RESPONSABILIDAD CONSTITUYE UNA ASUNCIÓN RAZONABLE DEL RIESGO. ESTA ASUNCIÓN DEL RIESGO Y LA LIMITACIÓN DE GARANTÍAS Y RESPONSABILIDADES DESCRITAS EN ESTE DOCUMENTO SE REFLEJAN EN LOS PRECIOS Y SON UN ELEMENTO FUNDAMENTAL DE ESTOS TERMINOS DE USO. USTED PUEDE TENER MÁS DERECHOS QUE LOS DESCRITOS ANTERIORMENTE EN VIRTUD DE LEYES DE SU ESTADO.

3. Riesgo del Usuario: USTED ACEPTA QUE EL ACCESO A Y EL USO DE, O LA INHABILIDAD DE ACCESAR O USAR, LOS SERVICIOS, NUESTROS APPS O EL SITIO ES A SU PROPIO RIESGO. NO SOMOS RESPONSABLE POR CUALQUIER DAÑO DIRECTO, INDIRECTO, ESPECIAL, INCIDENTAL O CONSECUENCIAL, EJEMPLAR O PUNITIVO O LUCRO CESANTE A CONSECUENCIA DE SU USO Y DISFRUTE O INTERRUPCIÓN DE LA TRANSAMICION DE LOS SERVICIOS O EL SITIO, INCLUYENDO, CUALQUIER DAÑO A CUALQUIERA DE SUS COMPUTADORAA O INFORMACIÓN, Y/O RADIO. NINGUNA INFORMACIÓN, VERBAL O ESCRITA, PROVISTA POR CUALQUIER PERSONA CONSTITUIRÁ UNA GARANTÍA DE CUALQUIER MANERA RELACIONADA AL SERVICIO O EL SITIO.

4. Leyes del Estado: ALGUNAS JURISDICCIONES NO PERMITEN LA EXCLUSIÓN DE CIERTAS GARANTÍAS IMPLÍCITAS O LA IMPOSICIÓN DE LÍMITES DE RESPONSABILIDAD POR CIERTOS DAÑOS, DE MODO QUE CIERTAS RENUNCIAS O LÍMITES DE RESPONSABILIDAD NO LE SON APLICABLES.

5. Misceláneos: DE NO SER MODIFICADO O LIMITADO POR LEY, LAS RENUNCIAS Y LIMITACIONES AQUÍ MENCIONADAS APLICARÁN A LA MÁXIMA MEDIDA PERMITIDA, AÚN CUANDO CUALQUIER REMEDIO DISPONIBLE NO CUMPLA CON SU PROPÓSITO.

6. Indemnización: A EXCEPCIÓN DE CONDUCTA INTENCIONAL POR PARTE DE LA COMPAÑÍA, USTED ACEPTA DEFENDER, INDEMNIZAR Y EXIMIR A LA COMPAÑÍA, SUS SUBSIDIARIOS, ACCIONISTAS, OFICIALES, AGENTES, EMPLEADOS, TENEDORES DE LICENCIA Y PROVEEDORES DE SERVICIOS (“PARTE INDEMNIZADA”) DE CUALQUIER Y TODO RECLAMO, RESPONSABILIDAD Y/O GASTO (INCLUYENDO HONORARIOS Y GASTOS DE ABOGADOS), YA SEA POR RESPONSABILIDAD CONTRACTUAL, EXTRACONTRACTUAL O DE CUALQUIER OTRA ÍNDOLE A CONSECUENCIA DE SU USO DEL SERVICIO, NUESTROS APPS, O EL SITIO Y CUALQUIER VIOLACIÓN A LAS DISPOSICIONES DE ESTOS TÉRMINOS, LEY APLICABLE O CUALQUIER OTRO DERECHO QUE PUEDA INVOCAR LA PARTE INDEMNIZADA. DICHA OBLIGACIÓN DE INDEMNIZACIÓN INCLUYE CUALQUIER ACTO U OMISIÓN DE CUALQUIER PERSONA QUE ACCEDA AL SERVICIO O NUESTROS APPS, UTILIZANDO SU NOMBRE DE USUARIO Y CONTRASEÑA, CON O SIN SU AUTORIZACIÓN.

F. RESOLUCIÓN DE CONTROVERSIAS:

POR FAVOR LEA LAS DISPOSICIONES DE ESTA SECCIÓN DETENIDAMENTE. EN ELLA SE ESTABLECE QUE CUALQUIER DISPUTA HA DE SER RESUELTA POR ARBITRAJE OBLIGATORIO. AL ACCEDER A ARBITRAJE, USTED RENUNCIA AL DERECHO A IR A CORTE, INCLUYENDO EL DERECHO A JURADO. EN ARBITRAJE, LA DISPUTA ES RESUELTA POR UN ÁRBITRO, O UN PANEL DE ÁRBITROS, EN LUGAR DE UN JUEZ O UN JURADO. LAS PARTES ACUERDAN QUE, AL ELEGIR EL ARBITRAJE COMO MÉTODO DE RESOLUCIÓN DE CONTROVERSIAS, RENUNCIAN A SU DERECHO DE LITIGAR LA DISPUTA MEDIANTE UN PROCESO JUDICIAL Y DE QUE UN JUEZ O JURADO DECIDA SU CASO. LAS PARTES ENTIENDEN QUE HUBIERAN TENIDO EL DERECHO O LA OPORTUNIDAD DE LITIGAR SUS DISPUTAS POR MEDIO DE UN TRIBUNAL Y QUE UN JUEZ O JURADO DECIDIERA SU CASO, PERO ESTAS HAN ESCOGIDO (MEDIANTE SU ACEPTACIÓN DE ESTE ACUERDO, EL ACCEDER O UTILIZAR EL SERVICIO O EL SITIO) RESOLVER SUS DISPUTAS POR MEDIO DE ARBITRAJE.

Cualquier reclamación relacionada al Servicio, el Sitio, su Suscripción o estos Términos de Uso (una “Reclamación”) será resueltos de la siguiente manera:

1. Procedimiento Informal de Resolución de Reclamos: Para iniciar el proceso informal de resolución de una Reclamación, usted deberá notificar, por correo de primera clase de los Estados Unidos, a Sirius XM Radio Inc., 1290 Avenue of the Americas, Piso 11, New York, NY 10104, Atención: CRM (una “Notificación”). Ninguna de las partes ha de comenzar un procedimiento formal de resolución de disputas (excepto en aquellas circunstancias descritas en el inciso tres (3) de esta sección) hasta sesenta (60) días luego de que una de las partes haya notificado a la otra, por escrito, de la existencia de una Reclamación. De iniciar una reclamación en su contra, se le notificará a usted mediante correo a su dirección de facturación.

2. Procedimiento Formal de Resolución de Reclamaciones: De no ser posible resolver una Reclamación haciendo uso del procedimiento informal, incluyendo cualquier Reclamación o controversia pasada, presente o futura, y incluyendo cualquier controversia relacionado validez o aplicabilidad de esta cláusula de arbitraje, entonces estas Reclamaciones serán resueltas, por elección de cualquier de las partes, exclusivamente y finalmente por arbitraje final.

La parte que inicie el proceso de arbitraje deberá hacerlo de acuerdo con las reglas y procedimientos de la “American Arbitration Association” (“AAA”) vigentes al momento de presentar la reclamación y las pares acuerdan que el arbitraje será administrado por la AAA. Usted podrá obtener copia de las reglas e información sobre cómo iniciar un proceso de arbitraje comunicándose directamente con ellos:

Este acuerdo de arbitraje se formaliza de acuerdo con una transacción que involucra comercio interestatal por lo cual esta cláusula de arbitraje ha de regirse por el “Federal Arbitration Act” (“FAA”), y no por legislación estatal relacionada al arbitraje.

3. Excepciones: No obstante, lo anterior, cualquier controversia relacionada a una violación de las disposiciones del “Communications Act of 1934”, 47 U.S.C. §605, el “Electronic Communications Privacy Act”, 18 U.S.C. §2510-2521, o una violación de nuestro derecho de propiedad intelectual ha de ser resuelta solo por un tribunal con jurisdicción.

4. Reclamaciones de Cuantías Menores: En lugar de proceder a arbitraje, tanto usted como nosotros tenemos la opción de interponer una demanda en un tribunal de reclamaciones pequeñas (o su equivalente) siempre y cuando dicha Reclamación 1) permanezca en dicho tribunal, y 2) la demanda se interponga solamente a nuestro nombre (de ser iniciada por nosotros) o a su nombre. No obstante, de ser la demanda transferida o apelada a otro tribunal, nosotros nos reservamos el derecho de elegir arbitraje.

5. Gastos Compartidos: Quienquiera que solicite el arbitraje pagará la cuota inicial de radicación. Si nosotros radicamos, nosotros pagamos; si usted radica, usted paga. Si usted pagó la cuota inicial de radicación y luego usted prevalece en su reclamo, nosotros le reembolsaremos el importe de dicha cuota. Si se celebra una vista, nosotros pagaremos cualquier cuota del árbitro y de la firma de arbitraje correspondientes al primer día de la vista. Cuotas adicionales se adjudicarán según lo establecido por las reglas de la firma de arbitraje y la ley aplicable. En ningún momento se le requerirá a usted que nos reembolse cuota alguna, ya sea de radicación de arbitraje, administrativa o de la vista, en una cantidad que resulte mayor a lo que hubieran sido sus costos de corte de usted haber radicado y resuelto su Reclamación en una corte estatal con jurisdicción. Sin embargo, le adelantaremos o reembolsaremos el costo de la cuota si la firma de arbitraje o el árbitro determina que existe una buena razón para requerírnoslo o, en caso de que usted lo solicite y nosotros determinemos que existe una buena razón para ello. Cada parte será responsable para los gastos de abogados, expertos, y testigos, y cualquier otro gasto, sin importar que parte prevalece, pero una parte puede recuperar todo o parte de sus gastos de la otra parte si el árbitro, aplicando la ley aplicable, así lo determina.

6. Pleitos de Clase y Separabilidad: Todos las Reclamaciones serán arbitrados de forma individual. No habrá derecho o autoridad para que ninguna reclamación se someta a arbitraje en forma de pleito de clase o a base de Reclamaciones presentadas en una aparente capacidad representativa a nombre del público en general, de otros Suscriptores o de otras personas en se encuentren en una posición similar. Ninguna Reclamación sometida a arbitraje será evaluada por un jurado o presentada como un asunto privado por abogados del gobierno. Usted no tiene la potestad de actuar como un representante de clase o para participar como miembro de una clase de querellantes con respecto a cualquier Reclamación sometida a arbitraje (“Exención de Pleito de Clase”). La Exención de Pleito de Clase es material y esencial al arbitraje de cualquier disputa entre las partes y no es separable de este cuerdo de arbitraje para Reclamaciones. Una “Reclamación” no incluye cualquier cuestionamiento a la validez y efecto de la Exención de Pleito de Clase, lo cual debe ser adjudicado por un tribunal. Las partes reconocen y están de acuerdo que en ninguna circunstancia se someterá a arbitraje un pleito de clase. Si cualquier porción de este acuerdo de arbitraje o de la Exención de Pleito de Clase es restringida, anulada o declarada inválida, entonces el acuerdo de las partes para someterse a arbitraje (excepto por esta oración) será nulo e inválido con respecto a tal procedimiento, sujeto al derecho de apelar la limitación o invalidación de la Exención de Pleito de Clase, dicha porción se separará, y el resto del acuerdo se mantendrá en vigor. Si la totalidad de este acuerdo de arbitraje se declarara nulo e inválido, entonces las partes están de acuerdo a que cualquier reclamación puede ser radicada en las cortes Federales o Estatales de New York, New York.

7. Efecto Vinculante: Durante el procedimiento de arbitraje, el árbitro deberá aplicar el derecho vigente y cualquier remedio concedido podrá ser apelado de acuerdo a las reglas y procedimientos de la FAA. Cualquier tribunal con jurisdicción podrá ordenar el cumplimiento del remedio concedido por el árbitro. La decisión tomada por el árbitro ha de ser final y vinculante para todas las partes interesadas y cualquier tribunal federal o estatal con jurisdicción podrá ordenar su cumplimiento.

G. MISCELÁNEOS:

1. Notificaciones: Cualquier notificación a usted se entenderá hecha en el momento que se deposita en el correo o es enviada por correo electrónico o por teléfono, por el cual se entenderá que ha sido notificado en el momento que se le deja el mensaje a usted, la persona quien conteste el teléfono en su residencia o un contestador automático o correo de voz de su número de teléfono en nuestros archivos. Notificaciones puede estar incluidas en estados de cuenta o en otras comunicaciones a usted. 2. Acuerdo Completo: Estos Términos de Uso constituyen la totalidad del acuerdo entre usted y nosotros en relación a su derecho de acceso a nuestro Sitio y podrán ser modificados mediante una enmienda unilateral de estos Términos de Uso y la publicación de dicha versión enmendada por parte nuestra. De un tribunal competente declarar inválida alguna disposición o parte de alguna disposición de este acuerdo, dicha disposición será eliminada o modificada en la medida necesaria y el resto de estos Términos de Uso se mantendrán en vigor. Cualquier disposición especifica que mantenga su vigencia luego de la terminación del vencimiento del contrato ha de mantener su validez hasta que se dé su cumplimiento en su totalidad. Cualquier renuncia a cualquiera de estas disposiciones o cualquier incumplimiento las mismas, en cualquier instancia, no constituye una renuncia a dicha disposición o condición o cualquier incumplimiento subsiguiente del mismo.

3. Derecho Aplicable: Toda interpretación o cumplimiento de estos Términos de Uso se regirán por las leyes y reglamentos del estado de Nueva York. La Sección F se regirá a tenor con el FAA, excluyendo la aplicabilidad de cualquier ley estatal.
